Terms of Service

These Terms of Service ("Terms") govern your use of paragonmca.com and the early-access request process operated by CapitalDesk, Inc., doing business as ParagonMCA ("ParagonMCA," "we," "us"). By submitting the early-access request form, you agree to these Terms.

1. Pre-launch status

ParagonMCA is pre-launch. No platform access, account, or paid service is available today. Submitting the early-access form places you on a waitlist; it does not create an account or a purchase. Full product detail, pricing, and platform access will be published at launch.

2. What ParagonMCA is and is not

ParagonMCA is a software platform built for merchant cash advance brokerages. CapitalDesk, Inc. is not a lender, a funder, a merchant cash advance provider, a broker, an ISO, or a financial advisor. We do not originate, underwrite, purchase, fund, service, or collect on any advance, loan, or other financing, and we do not participate in any funding decision. Nothing on this site is an offer of financing, a commitment to fund, or an approval of any application, and nothing here is legal, tax, accounting, or financial advice. Any financing relationship is solely between the merchant and the funder; we make no representation or warranty about the terms, availability, or outcome of any funding application, or about the conduct of any brokerage or funder that uses our platform.

3. Eligibility

You must be at least 18 years old and authorized to submit information on behalf of the brokerage or business you represent to request early access.

4. No guarantee of access

Requesting early access does not guarantee admission to the early-access program or any particular onboarding date. We onboard brokerages in stages at our discretion.

5. Account security messaging

If your account becomes active, we may send account and authentication text messages — one-time passcodes, login verification, and security alerts — to a mobile number you have provided and consented to receive messages at. No marketing or promotional text messages are sent under this program. Consent to receive these messages is not a condition of purchasing or using any service, and you may submit the early-access form without providing a mobile number or agreeing to receive text messages. Message frequency varies. Message and data rates may apply. Reply STOP to any message to unsubscribe, or HELP for help. See our SMS Policy and Privacy Policy for full program details. Messaging sent by brokerages to their own merchants through the platform is governed by our Messaging Acceptable Use Policy.

6. Platform messaging

Where messaging capabilities are made available to you, your use of them is governed by our Messaging Acceptable Use Policy, which forms part of these Terms. You will be registered as your own sender under your own legal entity and business website. You must obtain prior express written consent directly from each recipient before sending any message, must retain evidence of that consent, and must produce it on request. CapitalDesk, Inc. provides software and does not originate, author, approve, or send messages on your behalf. We may suspend or terminate messaging access immediately for any violation, and you indemnify us for claims arising from your messaging activity.

7. Electronic communications

By submitting the early-access form, you consent to receive communications from us electronically, including by email and, if you have opted in, by text message. You agree that any notice, disclosure, agreement, or other communication we provide electronically satisfies any legal requirement that it be in writing. You may withdraw this consent by contacting support@paragonmca.com, though doing so may prevent us from communicating with you about early access.

8. Acceptable use

You agree to provide accurate information when requesting early access and not to use this site to submit false, misleading, or fraudulent information, or to interfere with its operation.

9. Intellectual property

This site, including its text, design, and the ParagonMCA name and marks, is owned by CapitalDesk, Inc. and may not be copied or used without our written permission.

10. Disclaimers and limitation of liability

This site and the early-access process are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that this site will be uninterrupted or error-free, or that any text message will be delivered, delivered on time, or free of error; delivery depends on your mobile carrier, which we do not control. To the fullest extent permitted by law, CapitalDesk, Inc. is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, or business opportunity, arising from your use of this site, and our total aggregate liability arising out of or relating to these Terms will not exceed one hundred US dollars (US$100).

11. Indemnification

You agree to indemnify, defend, and hold harmless CapitalDesk, Inc. and its officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or relating to your use of this site, your submission of information through it, your breach of these Terms, or your violation of any law or of the rights of any third party.

12. Suspension and termination

We may suspend or terminate your access to this site or remove your early-access request at any time, with or without notice, for any reason, including suspected misuse or violation of these Terms. You may ask us to remove your early-access request at any time by contacting support@paragonmca.com. Sections 2, 6, 9, 10, 11, and 13 through 15 survive any termination.

13. Changes to these Terms

We may update these Terms as ParagonMCA moves from pre-launch to general availability. Material changes will be reflected by an updated "Last updated" date above. Your continued use of this site after an update constitutes acceptance of the revised Terms.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. You and CapitalDesk, Inc. agree that any dispute arising out of or relating to these Terms or this site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

15. General

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy and SMS Policy, are the entire agreement between you and CapitalDesk, Inc. regarding this site and the early-access process, and supersede any prior understanding on that subject. You may not assign or transfer these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
